In November 2025 SEBI proposed changes because IPO and FPO offer documents are long and complicated, which discourages retail investors from reading them properly.
Key proposals
- Summary document: a compulsory short summary of the offer document, published apart from the draft offer document.
- Where it will appear: issuer’s website, SEBI website, stock exchange websites and lead managers’ websites.
- Disclosures: simplify and rationalise them to cut needless complexity.
- Abridged prospectus: SEBI proposes to dispense with it, as the new summary covers the need.
