Deal background
| Item | Detail |
|---|---|
| Deal first announced | October 2025 |
| Majority stake acquisition completed | June 18, 2026 |
| Stake held by Emirates NBD | 60% of expanded share capital |
| Primary capital infusion | About USD 2.75 billion (roughly ₹26,000 crore) |
| Route | Preferential allotment plus a mandatory open offer |
Reports described the transaction as the largest FDI in Indian banking, the largest equity fundraise by an Indian bank, and the first time a foreign bank has bought a majority stake in a profitable Indian bank.
About the amalgamation
Merging the branches completes the integration that followed Emirates NBD’s purchase of a majority stake in RBL Bank. RBL Bank, now majority-owned by Emirates NBD, will absorb the UAE lender’s Indian network. The extra capital was expected to strengthen RBL’s balance sheet and capital adequacy.
Exam angle
- The provision used (Section 44A(4) of the BR Act, 1949) is a likely question.
- Remember the effective date: December 1, 2026.
- Note the stake (60%) and the investment size (about USD 2.75 billion).
